Nonprofit Board Director Serves Until Replaced
A person named to the Board of Directors of a nonprofit corporation remains a member of the Board until a successor is selected, says a Court of Appeal in Louisiana, even if the term extends more than 10 years.
The Court relied on the principle of law to resolve a dispute between factions of a church that had been incorporated in 1990, but never adopted bylaws or acted in accord with corporate formalities. (Mt. Gideon Baptist Church v. Hollins, Ct. of App. LA, First Cir., No. 2001 0749, 2/15/02.)
