I'm not sure I buy this court's explanation as to why federal
tax law is relevant to a dispute under principles of state corporation
law, especially when the court acknowledges that there is no
claim of any injury to the public fisc. The court's reasoning
may have been influenced by the fact that Maryland's statutory
and case law on the powers and duties of nonprofit directors
are much thinner than in many other states.
